Annual ROC compliance
Financial statements and annual return filed on time, reconciled against the books, the cap table and the minute book before anything is uploaded.
Board and general meetings
Notices, agendas, resolutions and minutes for at least four board meetings a year with no gap exceeding 120 days, and the AGM within its statutory window.
Statutory registers
Register of members, directors, charges, related-party contracts and director disclosures — opened, maintained and kept current, not reconstructed the week before diligence.
Event-based filings
Share allotments, transfers, director appointments and resignations, change of registered office, alteration of capital, creation and satisfaction of charges — each with its own clock.
Share allotments and corporate actions
Valuation coordination, board and shareholder approvals, offer letters, allotment, share certificates and the PAS-3 filing, in the right sequence.
Significant beneficial ownership
Identification of significant beneficial owners, declarations and the BEN-2 return.
Regularisation of past defaults
Late filings with additional fees, adjudication of penalties before the Registrar, condonation of delay applications, and revival of struck-off companies before the NCLT.
Dormancy, strike-off and closure
Where an entity is genuinely no longer needed, closing it cleanly is cheaper than leaving it to accrue defaults.
